Vodafone Idea’s board has approved a preferential issue of fully convertible warrants worth up to ₹4,730 crore to Suryaja Investments Pte. Ltd., a Singapore-based Aditya Birla Group promoter entity, according to an exchange filing. The move is aimed at strengthening the financially strained telecom operator’s balance sheet.
The company will issue up to 430 crore warrants at ₹11 each, with each warrant convertible into one fully paid equity share. The board has called an extraordinary general meeting on June 11, 2026, to seek shareholder approval for the transaction.
Under the proposed structure, 25% of the warrant exercise price will be payable at the time of subscription, while the remaining 75% will be due when the warrants are converted into equity shares. The warrants can be exercised in one or more tranches within 18 months of allotment.
The infusion marks another capital commitment from the Aditya Birla Group to Vodafone Idea, which has been working to address debt and regulatory liabilities. The company said the preferential issue is intended to support its financial position as it continues to face pressure in a competitive telecom market.
